Statement of Work — 90-day Pilot
Next conversation is “sign and start.” Not “let us think about structure.”
1. Parties and product
Ijarah OS (“Platform”) and the Bank named in the signature block. Product in this SOW: Home Ijarah — salaried, ready property. Customer journey under the Bank’s brand. Platform does not hold the book.
2. Scope (in)
- Private bank environment. Brand skin (logo, colours, name).
- Customer apply (EN/AR). Demo identity labelled. Live WhatsApp when the bank’s number is live.
- Document pack: ranked sources + upload fallback. Policy pack the Bank edits.
- Command Center. Officer gates: pack → valuation → Shariah sample → credit → fund.
- Helper receipts on the file. Structure memo before fund.
- Phase-1 package drop (webhook or SFTP). No core rewrite.
- One training workshop. Weekly scoreboard for 90 days.
3. Scope (out)
- Core banking rewrite. General ledger. Collections engine.
- Cards, SME, goods. Other products unless a change order is signed.
- Source code. On-prem install. Exclusive ownership of the platform.
- Consumer marketplace brand. Auto-fund.
4. Success metrics (locked)
These four numbers are the only commercial scoreboard. Reported weekly. Final values are measured, not promised as a marketing claim.
- % of submitted files on the standard rail. Track classified standard vs assisted on each new file. Weekly export.
- Cost per funded file (AED). Officer time + assisted desk + platform fee, divided by funded files in the window.
- Assisted conversion. Share of exception files that pay or continue vs drop in the choice window.
- Officer load. Median minutes on standard files vs assisted files, from first open to last confirm.
5. Done when
- Apply under the bank brand without a live phone (demo path labelled).
- Same case id on customer status and Command Center.
- Officer path: Review & Confirm → valuation → Shariah sample → credit → fund.
- Nothing funds without the officer’s last confirm.
- Structure memo + helper receipts on the funded file.
- KPI export the CRO can open.
6. Bank does
- Name a product owner, credit owner, Shariah liaison, IT security contact.
- Load policy content (FTV, DBR, docs, Shariah flags, customer messages).
- Approve customer copy and consent language.
- Officers complete the gates. Nothing funds without them.
7. Ijarah OS does
- Turn on the private environment under the Bank brand.
- Run the rails. Keep the engine on Ijarah OS infrastructure.
- Deliver the package drop. Weekly metrics. Go/no-go pack at day 90.
8. Fees
- Setup: AED 180,000 (environment + 90-day license).
- Per funded file during pilot: AED 2,500 (Tier 1). Not a percentage of the loan. May be waived in writing for the first funded files.
- Assisted desk fee on exception files: AED 1,500 default (Bank pack can change the amount).
- No fee buys ownership of the platform or source.
9. IP, source, non-circumvention
This SOW incorporates the Partnership MOU and MSA. License, not assignment. Source is not delivered. For 36 months from the later of (a) last disclosure in this pilot or (b) termination, the Bank will not use Confidential Information from this engagement to build a competing origination orchestration system for Islamic home finance.
10. Term and exit
90 days from environment go-live. On end: Bank may export policy content and case data for 30 days. Platform access stops. Ijarah OS keeps the rails.
11. Signature
Binding only when signed by authorised people, with governing law completed by counsel. Until then this is the operating draft we will not reopen for “structure.”
